Terms of Service

By accessing or using CortexMAI services, you agree to be bound by these Terms of Service and our Privacy Policy.

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

CortexMAI provides AI automation solutions, consulting, and related technologies to streamline business operations.

Services may change over time; we will provide reasonable notice for material changes.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

You agree to notify us immediately of any unauthorized use or security breach.

Pricing is based on scope and documented in an order form or SOW; invoices are due per agreed terms.

Taxes are additional where applicable; late payments may result in service suspension.

Pre-existing IP remains with the original owner.

Custom deliverables transfer to the client upon full payment, excluding our reusable frameworks and know-how.

Do not use services for illegal or harmful activities, spam, or to violate third-party policies.

Respect platform terms for any integrated services and APIs.

Each party will protect the other’s confidential information and use it only for the intended purpose.

We implement industry-standard security measures and may execute a DPA upon request.

Services are provided “as is” without warranties of any kind. Outcomes depend on data, integrations, and external factors.

To the maximum extent permitted by law, our total liability is limited to the fees paid for the services giving rise to the claim.

We are not liable for indirect or consequential damages such as lost profits or data.

Either party may terminate with 30 days’ written notice. We may terminate immediately for non-payment or material breach.

Upon termination, accrued fees remain due and we will provide completed work and reasonable transition assistance.

These terms are governed by California law. Disputes will be resolved in San Francisco, California, except where prohibited.

We may update these terms periodically. Material changes will be communicated via email or service notices.
